TCL Tanker Parts Sales Terms and Conditions

This document outlines the Terms and Conditions for purchasing goods from TCL Tanker Parts, a trading name of TCL Tanker Rental Ltd. These Terms and Conditions apply to all transactions between TCL Tanker Parts (“we” or “us”) and the customer (“you”) and constitute the entire and only agreement between us.

1. Our Contract

1.1 All orders you place are governed by these Terms and Conditions and become legally binding upon our acceptance, which occurs when the goods are delivered to you.

1.2 The processing of your payment and the acknowledgment of your order do not constitute legal acceptance of your order.

2. Ordering

2.1 You may place an order for products advertised on our website by following the onscreen instructions. You will have an opportunity to review and correct any errors in your order before finalizing it at the checkout.

2.2 Orders placed with TCL Tanker Parts by any method (including website, email, phone, or other methods specified in clause 14) are subject to our acceptance. We may decline to accept your order or purchase for any reason and will not be liable to you or any third party in such circumstances.

2.3 Upon our acceptance of your order, we are legally obliged to supply goods in compliance with these Terms and Conditions.

2.4 We aim to deliver your products by the next working day or by the estimated delivery date provided in your confirmation email. For custom-ordered products, we will provide an estimated delivery timeframe. If delays occur due to factors outside our control, we will contact you to arrange a revised delivery date. Full details of our delivery methods and dispatch times are available on our Website.

2.5 While we strive to ensure all product descriptions and information on our website are up to date and accurate, we cannot be held responsible for any reliance you place on this information.

2.6 It is your responsibility to verify that the product you are purchasing is suitable for your needs. We will not be liable for any loss, damage, or compensation resulting from the purchase of products that are later deemed unsuitable.

2.7 Once we have accepted an order for a custom-made product or a product made to your specifications, the order cannot be cancelled, refunded, or returned.

3. Price & Payment

3.1 The price for the goods is as stated on our website at the time you place your order, plus any applicable delivery charges. Prices exclude VAT unless otherwise specified in the order acknowledgment or invoice.

3.2 We reserve the right to update the price of goods at any time, but we will confirm the current price before accepting your order. We are not obliged to accept your order and may decline it or limit the quantity of goods sold.

3.3 Promotional prices require you to provide the correct promotion code at the time of order. If not provided, the full price will be charged.

3.4 If goods are incorrectly priced due to an error, we are not obliged to supply them at the incorrect price. We will either cancel your order and refund your payment or contact you to confirm whether you wish to proceed at the correct price. If we cannot contact you or if you choose not to proceed at the correct price, we will cancel the order and refund your payment.

3.5 Full payment, including delivery charges, must be received before processing your order.

3.6 If a credit account has been pre-approved, payment will be processed according to the pre-agreed credit terms.

3.7 For website orders, payment can be made via most major credit or debit cards by completing the checkout process.

3.8 All prices and delivery charges are in UK pounds sterling. Any currency conversion will be handled by your card provider.

3.9 By using a credit or debit card to pay, you confirm that the card is yours or that you are authorised to use it.

3.10 All credit and debit cardholders are subject to validation checks and authorization by the card issuer. If authorisation is refused, we will not accept your order and will not be liable for the goods not being delivered. We are not obliged to inform you why the payment has failed.

3.11 We recommend that you do not transmit your card details via email. We cannot accept responsibility for losses incurred due to insecure communication methods.

3.12 If you hold a credit account with us, you may not withhold payment or set off any amount owed to us for any reason.

3.13 We may, at our discretion, set off any amounts you owe us against any amounts we owe you.

3.14 Our invoices and statements will follow our chosen format, and we will not accommodate changes to this format.

3.15 If a credit account has been granted, unless agreed otherwise in writing:

(a) All payments for TCL Tanker Rental Ltd trading as TCL Tanker Parts must be made in full within 30 days from the invoice date, unless agreed otherwise.

(b) If payment is not received by the due date, we may suspend all future orders and if re-order is made at a later date, it will be charged at prevailing prices at the time.

(c) We reserve the right to demand immediate payment at any time, even if payment is not yet due.

(d) Late payments may incur interest at the prevailing Bank of England rate plus 4% on overdue amounts from the due date until payment is made.

(e) A charge of £45 will apply for any dishonoured cheques, standing orders, or direct debits.

(f) We reserve the right to refuse or withdraw a credit account at any time.

(g) We may set off any amounts owed to you against amounts payable by you.

3.16 VAT at the current UK rate applies to all purchases from within the EU. We may zero-rate VAT for companies registered in the EU if you provide your VAT registration number. Outside the EU, VAT will not be charged.

4. Delivery & Title

4.1 We aim to deliver goods within the estimated timeframe but no later than 30 days after your order, unless agreed otherwise and subject to clauses 5,11,12 and 13. If we fail to deliver within 30 days, you may cancel your order prior to delivery of the goods.

4.2 Please ensure that address for delivery is correct, and a valid signature will be required on delivery. You must inspect the goods upon receipt to ensure they are suitable and complete and notify us immediately if you have not received the goods within stated timescales or not received all the goods ordered. Do not start using the goods until you have inspected them for defects, missing parts or checked suitability.

4.3 Deliveries will be made to the exterior ground floor only. Further transportation or installation is your responsibility unless agreed otherwise.

4.4 You must ensure that delivery can take place at the agreed time and place. If delivery fails due to your actions, we will try to arrange for alternative delivery as soon as possible. We may cancel your order and deduct delivery costs from your refund.

4.5 Ownership of the goods (“The Title”) passes to you once full payment is received and the goods will be at your risk. Until then, you must hold the goods safely and be liable for any loss, damage or destruction of the goods, return them to us if we ask you to do so and may not use them without our permission. Until the Title passes to you, you will store the goods at your own cost separately from all other goods in your possession and be able to clearly identify them.

4.6 We are not liable for delivery delays caused by third-party couriers once the order has left our premises.

4.7 If goods remain uncollected 7 days after we notify you that they are ready, we may sell or dispose of the goods and account for any balance after deducting storage costs.

5. Availability

5.1 All goods are subject to availability. If stock is insufficient to fulfil your order, we will contact you to discuss how to proceed. At our discretion, we may process any part of the order which is available.

5.2 Where goods are out of stock, we will refund you the price paid for such goods within 30 days or, in the case of an account customer, we may, at our absolute discretion, as soon as possible raise a credit to offset the amount invoiced to you.

5.3 We will not be obliged to offer any additional compensation for disappointment suffered if your order has to be cancelled.

5.4 Where the goods are subject to a special offer, the stocks can be limited at the special offer price, and subject to availability. We update our website as quickly as we can to minimise disappointment.

6. Cancellation & Returns

6.1 You may cancel your order before delivery by notifying us via phone, mail, fax, or email. If there is a problem with the goods, please notify us of the problem at the time of cancellation. In relation to goods delivered to you, you may need to take delivery of the goods before you can cancel your order.

6.2 For orders with multiple deliveries, the cancellation period begins upon receipt of the first shipment.

6.3 Once goods have been delivered, you may not cancel the order unless there is a fault. See section 7 of this document.

6.4 If you cancel your order, you must return the goods within 5 business days at your expense and in original packaging unless we agree otherwise. Promotional items and free gifts must also be returned. If we agree that you may dispose of them then please comply with the manufacturer’s instructions before disposing of any hazardous goods. Where goods being returned are faulty, we will meet the cost of return, but we ask that you allow us to nominate the carrier.

6.5 We will refund the price paid for the faulty returned goods, minus any delivery costs, within 14 days of cancellation, provided the goods are returned in suitable condition.

6.6 Refunds will be made using the original payment method.

6.7 Deductions may be made for returned goods showing signs of unreasonable use (for these purposes, unreasonable use includes handling the goods beyond what is necessary to establish the nature, characteristics and functioning of the goods).

6.8 Custom-made, made to measure or made to your specifications products cannot be cancelled or returned. Your right to cancellation does not apply to goods which are not suitable for return due to health protection or hygiene reasons, if you have opened the product packaging after delivery or collection.

6.9 We do not accept returns for normal wear and tear.

7. Faulty Goods

7.1 If goods are faulty due to manufacturing defect, we will advise if manufacturer needs to be contacted directly to arrange the rectification. At our discretion, we might cover the return cost and arrange for a replacement, repair, or refund on behalf of the manufacturer.

7.2 If notified of a problem within 5 working days from the delivery date, we may, at our discretion, offer to rectify the issue by replacing or repairing the goods, or by cancelling the order and refunding the amount paid.

7.3 This does not affect your legal rights as a consumer.

8. Liability

8.1 If you are a consumer, (which means anyone who acts outside the course of their business, trade or profession), to the extent not prohibited by law, we accept no liability for:

(a) loss which is not foreseeable.

(b) loss which arises when we are not at fault or in breach of these Terms and Conditions; and

(c) any business loss (which includes loss of profits, loss of business, contracts, goodwill, business opportunity and other similar losses, as well as business interruption).

8.2 For trade customers we will have no liability to compensate you in any way and we will only be liable to you as outlined in these Terms and Conditions by means of a refund or otherwise at our discretion.

8.3 For trade customers, we will not be liable for indirect or consequential losses, unforeseeable losses under these terms & conditions or any business-related losses (including but not limited to: loss of profits, business, contracts, goodwill, business opportunity and other similar losses, or any business interruption).

8.4 These Terms and Conditions constitute the entire and only agreement between us and trade customers.

8.5 Nothing in these Terms affects your statutory rights or our liability for death, personal injury, fraud, or other liabilities that cannot be excluded by law.

8.6 Goods are intended for use in the UK. We cannot guarantee compliance with laws outside the UK. All goods are sold in accordance with the manufacturer’s specifications and are subject to any qualifications, representations or instructions contained in the documentation associated with the goods.

8.7 Trade customers assume responsibility for the installation and use of goods. We will not be held liable for improper installation or use.

8.8 To the extent that the goods are to be manufactured in accordance with goods specification supplied by you, you will indemnify the TCL Tanker Parts against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal and other reasonable professional costs and expenses) suffered or incurred by us in connection with any claim made against us for actual or alleged infringement of a third party’s Intellectual Property Rights arising out of or in connection with our use of the goods specification that you provided. This clause shall survive termination of the Contract howsoever arising.

9. Termination

If you breach these Terms or become insolvent, we may suspend deliveries, stop goods in transit, or terminate the contract and any payments due to us will become immediately payable.

10. Events Beyond Our Control

We are not liable for delays or failures caused by circumstances beyond our control, including but not limited to accidents, extreme weather, strikes, and governmental restrictions.

11. General

11.1 If any part of these Terms is deemed invalid, the remaining provisions will remain in force.

11.2 English law governs these Terms. Disputes will be handled by the courts of England and Wales unless otherwise agreed. Purchases can be concluded in English only and no public filing requirements apply.

11.3 Our Privacy Policy governs the use of customer data and it is available on our Website.

11.4 Intellectual property rights related to our website and materials belong to TCL Tanker Rental Ltd and its licensors and suppliers and it is protected by UK and foreign intellectual property laws and other applicable laws. They may not be used in any manner, or for any purpose, without express written permission. You may not use our trademarks and service marks in connection with any product or service that is not ours, or in any manner that is likely to cause confusion. Nothing contained on the website should be construed as granting any license or right to use any trademarks or service marks without express prior written consent.

11.5 We do not guarantee the security or uninterrupted use of the website. If you become aware of any unauthorized alterations to the website by third parties, please contact us as soon as possible at parts@tcl-tankers.com with a description of the materials at issue and the URL or location of such materials.

11.6 We reserve the right to request the removal of any link to our website and those links cannot be used in a way that suggests any sort of affiliation, endorsement or are used in abusive or offensive manner.

11.7 Links to third-party websites are provided for convenience. We are not responsible for their content and you are using those at your own risk.

11.8 We reserve the right to make changes to our site, policies, and these terms and conditions at any time.

12. Third Party Manufacturer Warranty

If goods are provided by a third-party manufacturer, they are covered by manufacturers warranty only. At our discretion, we will use reasonable efforts to obtain the benefit of the manufacturer’s warranty for you.

13. Custom made goods Warranty

13.1 We do not provide warranty on the parts made to order / customer made goods. We would not accept returns of those goods subject to conditions in clause 13.2.

13.2 If goods are faulty (subject to conditions in clause 13.1), we will repair or replace them or provide a refund, providing you:

(a) give notice in writing within 5 business days from delivery;

(b) give us reasonable opportunity to examine such goods, and

(c) (if asked to do so) return such goods to our place of business at your cost.

13.3 We will not be liable for the goods’ failure to comply if:

(a) you make any further use of such goods after giving a notice in accordance with clause 13.2(a);

(b) the defect arises because you failed to follow our oral or written instructions as to the storage, installation, commissioning, use or maintenance of the goods or (if there are none) good trade practice;

(c) the defect arises as a result of you not following any drawing, design or goods specification supplied you;

(d) you alter or repair goods without our written consent;

(e) the defect arises as a result of fair wear and tear, wilful damage, negligence, or abnormal working conditions; or

(e) the goods differ from their description or the goods specification as a result of changes made to ensure they comply with applicable statutory or regulatory standards.

13.4 Except as provided in this clause 13, we will have no liability in respect of the goods’ failure. In any case, any liability, arising for any reason relating to the goods failure, will be limited up to the value of the goods sold.
